1. Acceptance and scope
These Terms govern access to and use of the Macentra Technologies Inc. corporate website and CommerceOS. By using the website or CommerceOS, the merchant and each authorized user agree to these Terms and the applicable Privacy Policy.
A separate written order form, subscription agreement, pilot agreement, or other commercial agreement may contain additional terms. If a direct conflict exists, the signed written agreement controls for that subject.
2. Corporate website
The corporate website provides general information about Macentra, CommerceOS, and related offerings. Website content may change and does not create a contractual commitment unless confirmed in a separate written agreement.
3. Merchant responsibilities
Merchants are responsible for accurate business, catalog, pricing, availability, payment, tax, fulfillment, and customer information and for limiting staff access to authorized personnel.
Merchants are responsible for their products, services, representations, customer communications, fulfillment, refunds, disputes, compliance obligations, and use of customer information.
4. Payment reconciliation
CommerceOS assists merchants in identifying and reconciling supported payment activity. CommerceOS is not a bank, money transmitter, card network, or payment network and does not hold or transfer customer funds.
Merchants remain responsible for confirming final receipt of funds, resolving disputes, and reviewing uncertain transactions. A CommerceOS status does not replace bank statements or payment-network records.
5. Connected services
Merchants may connect supported third-party services, including Google services, Meta and WhatsApp Business assets, messaging platforms, cloud storage, and payment-related business services.
The merchant represents that it owns or is authorized to administer each connected account and authorizes CommerceOS to use connected-service data solely for disclosed functionality. Third-party services remain subject to their own terms, privacy policies, charges, approval requirements, rate limits, and enforcement decisions.
6. WhatsApp Business and messaging
Merchants are responsible for required customer consent, opt-out handling, approved message templates when required, messaging windows, provider rules, and provider-imposed charges.
Macentra may delay or disable activation when onboarding, credentials, business verification, phone registration, webhook configuration, catalog ownership, compliance, or security checks are incomplete.
7. Acceptable use
Users may not violate law, access accounts without authorization, interfere with security, distribute malicious software, facilitate fraud, impersonate others, send unlawful or abusive communications, misuse customer information, or infringe intellectual-property or privacy rights.
8. Account security
Merchants and users must protect credentials, use multi-factor authentication where available, keep staff access current, and promptly report suspected compromise.
9. Availability and third-party dependencies
CommerceOS may depend on third-party hosting, database, email, messaging, payment, identity, storage, telecommunications, and network services. Delay or interruption may occur because of maintenance, provider outages, policy changes, rate limits, suspension, or circumstances outside Macentra's reasonable control.
10. Suspension and termination
Access may be suspended, restricted, or terminated for material breach, unlawful activity, security risk, non-payment, provider restriction, or conduct that threatens the platform, merchants, customers, Macentra, or third-party services.
11. Intellectual property and merchant data
CommerceOS software, branding, documentation, interfaces, and platform design remain the property of Macentra Technologies Inc. or its licensors. Merchants retain ownership of their business content and customer data, subject to the rights needed for Macentra to provide, secure, support, and improve the contracted service.
12. Disclaimer
The website and CommerceOS are provided on an as-available basis to the extent permitted by law. Automated reconciliation, messaging, catalog, availability, routing, and other operational features may require merchant review. Merchants should not rely on CommerceOS as the sole source of bank, payment-network, legal, tax, compliance, inventory, or fulfillment confirmation.
13. Changes
Macentra may update these Terms as the website, CommerceOS, law, or connected services change. The current version and effective date will remain available on this page.
